End User License Agreement

IMPORTANT: Read this agreement carefully before installing or using this software. By installing, copying, or otherwise using HYVE OVERLORD (the “Software”), you agree to be bound by the terms of this End User License Agreement (“Agreement”). If you do not agree, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement and valid license key activation, Vibe Software Solutions Inc. (“Licensor”) grants you a non-exclusive, non-transferable license to install and use the Software on the number of protected machines (Raptor Shields) permitted by your purchased tier (Scout: 10, Guardian: 50, Sentinel: 250, Command: Unlimited). The Software is supported on Windows 10/11 (x64) and Linux (x64) only; macOS is not a supported platform.

2. License Types

Monthly License: Grants usage rights for 30 days from activation. Automatically renews upon payment.
Annual License: Grants usage rights for 12 months. Annual billing saves 20% over monthly.
Perpetual License: Grants lifetime usage rights with no expiration. The Software is yours to use indefinitely.

3. License Key Issuance & Offline Activation

License keys are generated and cryptographically signed (Ed25519) by Vibe Software Solutions Inc. and delivered to the purchaser by email at the time of purchase. Activation is performed offline: the Software verifies the signed key locally against an embedded public key, with no internet connection or license server required. After a key is delivered, Vibe Software Solutions Inc. has no ability to remotely disable, access, or modify customer deployments.

4. Ownership

The Software and all intellectual property rights therein remain the exclusive property of Vibe Software Solutions Inc. This Agreement does not transfer ownership of the Software to you.

5. Post-Quantum Cryptography

The Software incorporates post-quantum cryptographic implementations (ML-KEM-768, ML-DSA-44, SLH-DSA) wrapping NIST-standardized algorithms via the Cloudflare Circl library. These implementations have not been independently certified under FIPS 140-3 validation.

6. Active Defense Commands

The Software includes active defense capabilities (ISOLATE, CONTAIN, NEUTRALIZE, LOCKDOWN) that execute real operating system-level operations including firewall rule deployment, process termination, and network isolation. These commands should be used with appropriate authorization and change management procedures. The Licensor is not responsible for unintended consequences of active defense command execution.

7. DDoS Return Pipe

The DDoS Return Pipe feature deploys real iptables (Linux) or Windows Firewall (Windows) rules that may reflect or block network traffic. This feature requires appropriate system privileges (root/Administrator) and may not be available on all deployment environments. Use of traffic reflection features must comply with applicable laws and regulations in your jurisdiction.

8. Data Privacy

The Software operates entirely on your infrastructure. No data, telemetry, analytics, or usage information is transmitted to Vibe Software Solutions Inc. or any third party. All threat data, compliance assessments, forensic evidence, and configuration data remain exclusively on the customer’s systems.

9. Compliance Disclaimer

HYVE OVERLORD provides technical controls and audit evidence that support compliance obligations under CMMC 2.0, HIPAA Security Rule, FedRAMP Moderate/High, CJIS Security Policy, NIST 800-171, NIST 800-53 Rev. 5, and SOC 2 Type II. Compatibility with a regulatory framework does not by itself constitute a finding of certification, accreditation, or Authority to Operate. Final certification is performed by each organization’s own auditor or authorizing official. Vibe Software Solutions Inc. makes no representation or warranty that any particular deployment will be accepted by a specific auditor, agency, or authorizing body.

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VULNERABILITIES.

11. Limitation of Liability

IN NO EVENT SHALL VIBE SOFTWARE SOLUTIONS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE MAXIMUM AGGREGATE LIABILITY OF VIBE SOFTWARE SOLUTIONS INC. UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Export Compliance & U.S.-Only Distribution

The Software is export-controlled and is offered for purchase and use within the United States only. To comply with U.S. export-control law, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR), persons and entities located outside the United States may not purchase, download, install, use, export, or re-export the Software unless they first request access and provide documentation establishing a valid, lawful need. Vibe Software Solutions Inc. reserves the sole and absolute right to approve, deny, suspend, or revoke access to or use of the Software for any person or entity, for any reason or for no reason, at any time, and without liability. By purchasing, installing, or using the Software you represent and warrant that you are located in the United States, are not a national of or located in any U.S.-embargoed or restricted jurisdiction, and are not a denied, debarred, or otherwise restricted party under U.S. law. You agree to comply with all applicable export and re-export restrictions and regulations.

13. Termination

This Agreement is effective until terminated. Monthly and annual licenses terminate upon non-payment. Perpetual licenses do not terminate. The Licensor may terminate this Agreement if you breach any terms. Upon termination (except perpetual), you must cease use of the Software and destroy all copies.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to its conflict of laws provisions.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous oral or written agreements.
